PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING THE ORILINK SDK. BY CHECKING THE ACCEPTANCE BOX AND COMPLETING YOUR PURCHASE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
01Parties
This Agreement is between Talonyx Inc., an Alberta corporation, and you, the individual completing the purchase.
02License Grant
Subject to the terms of this Agreement and payment of the applicable license fee, Talonyx grants you a non-exclusive, non-transferable, worldwide license to: download and install the ORILink SDK on systems you own or control; use the ORILink SDK solely to protect AI agents that you develop and operate for your own purposes; and receive software updates delivered by Talonyx during the term of this Agreement.
03License Fee and Updates
The license fee is a one-time payment of USD $10.00. This covers a perpetual license to the current major version, including all minor updates and patches. Updates are delivered via email with a new download link. Future major versions may require a separate license purchase.
04Permitted Use
You may use the ORILink SDK only to protect AI agents that you build and operate. You may not use the Software to provide security services to third parties, embed it in a product offered to others, or use it for commercial purposes beyond operating your own agents, except as permitted under Section 5.
05Commercial Use Threshold
If your organization reaches either of the following thresholds, you must obtain an Enterprise License from talonyx.ai: (a) USD $500,000 or more in annual gross revenue, or (b) five or more full-time equivalent employees. Whichever threshold is reached first governs.
06Restrictions
You may not: reverse engineer or decompile the Software; modify or create derivative works; resell, sublicense, or transfer the Software; remove proprietary notices; or use the Software in violation of applicable law.
07Intellectual Property
The ORILink SDK is and remains the exclusive property of Talonyx Inc. The Software is protected by copyright, patent (patent pending), and other intellectual property laws. All rights not expressly granted are reserved.
08No Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TALONYX DOES NOT WARRANT THAT THE SOFTWARE WILL DETECT OR PREVENT ALL SECURITY THREATS.
09Limitation of Liability
TALONYX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE LICENSE. TALONYX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
10Term and Termination
This Agreement continues until terminated. Talonyx may terminate immediately upon breach. Upon termination, you must cease all use and delete all copies.
11Governing Law
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada.
